These Terms form the agreement between you and TeguFy Co., Ltd for the use of our products and services.
Please read them carefully. Enterprise and consulting engagements may have additional, separate agreements that take precedence.
This document is a general template covering all TeguFy products and services. It is provided for information only and is not formal legal advice — please have it reviewed by qualified legal counsel before relying on it.
These Terms of Service ("Terms") govern your access to and use of all TeguFy products and services (the "Services"). By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization.
TeguFy provides SaaS platforms, enterprise solutions, consulting services, open-source software, websites, and APIs. Specific features, availability, and pricing vary by product and may change. Enterprise and consulting engagements are governed by a separate agreement or statement of work ("SOW"), which prevails over these Terms to the extent of any conflict.
You must be at least 18 and able to form a binding contract. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

Certain TeguFy products are released as open source under licenses such as MIT or Apache 2.0. Your use of those components is governed by their respective license terms, which prevail for that software. Open-source software is provided "as is," without warranty.
Except for open-source components and your own content, the Services and all related software, designs, and trademarks are owned by TeguFy or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services as permitted. You retain ownership of content you submit and grant us a license to process it solely to provide the Services.
The Services may interoperate with third-party platforms and APIs. We are not responsible for third-party services, and your use of them is subject to their terms. We may suspend integrations if a third party changes or restricts access.
Outputs generated by AI features are probabilistic and may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing and validating outputs before relying on them. AI outputs do not constitute professional, legal, financial, or investment advice.
Some Services interact with blockchains and digital assets. Blockchain transactions are irreversible, networks may be volatile, and you are solely responsible for managing your keys and assets. Nothing in the Services is financial or investment advice, and we make no recommendation to buy, sell, or hold any digital asset.
Paid Services are billed as described at purchase or in the applicable SOW. Unless stated otherwise, fees are non-refundable and exclusive of taxes. We may change pricing for future terms with notice.
To the maximum extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, TeguFy and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim relating to the Services will not exceed the amounts you paid us for the relevant Service in the 12 months before the claim.
You agree to indemnify and hold TeguFy harmless from claims, losses, and expenses arising from your misuse of the Services, your content, or your violation of these Terms or applicable law.
You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or to protect the Services. Provisions that by their nature should survive termination (e.g., intellectual property, disclaimers, liability, governing law) will survive.
These Terms are governed by the laws of Vietnam, without regard to conflict-of-law rules. Disputes will be resolved by the competent courts of Ho Chi Minh City, Vietnam, unless a separate agreement specifies otherwise. Nothing limits mandatory consumer rights under your local law.
We may modify these Terms from time to time. We will update the "Last updated" date and, for material changes, provide reasonable notice. Continued use after changes take effect constitutes acceptance.
